Telus agrees to acquire Mobilicity

<HTMLCOPY>
VANCOUVER, May 16, 2013 /CNW/ - TELUS has entered into an agreement with Mobilicity to acquire the company for $380 million. If the deal receives the required approvals, it would ensure continued service to Mobilicity's 250,000 customers without the risk of disruption.

The agreement between TELUS and the company is subject to conditions including approval by the Competition Bureau, Industry Canada, and Mobilicity's debtholders. TELUS and Mobilicity have informed the government and regulators and both companies are fully committed to working cooperatively to secure timely approvals for the transaction.

"A concern for our customers and employees led us to approach TELUS, which has a reputation for a strong customer focus, as evidenced by their industry leading client loyalty," said Stewart Lyons, Mobilicity President. "I am confident TELUS will look after our employees and our customers, mitigating any disruption to their service, while offering the best outcome for all stakeholders."

William Aziz, Mobilicity Chief Restructuring Officer, continued, "Mobilicity has been losing a significant amount of money every month. The financial strength of TELUS will allow the business to be continued in a way that will benefit customers and employees. An acquisition by TELUS is the best alternative for Mobilicity."

The entire purchase price will be used to satisfy Mobilicity's secured and unsecured debt.

"We look forward to serving Mobilicity's customers and welcoming their employees to the TELUS team," said David Fuller, TELUS Chief Marketing Officer.

If this transaction is approved, TELUS will retain all 150 Mobilicity employees as it integrates the Mobilicity operation into TELUS over the coming months. The employees would have the opportunity to review and secure permanent, long term roles with TELUS.

TELUS has created 1,700 new jobs in Canada over the last two years alone while bringing 4G wireless coverage to 99 per cent of Canadians coast-to-coast.

Acquisition agreement details:

Mobilicity has begun proceedings in the Ontario Superior Court of Justice with a view to obtaining approval for a plan of arrangement under the Canadian Business Corporations Act. The plan of arrangement with TELUS requires an affirmative vote by debtholders, after which TELUS and Mobilicity will seek court approval of a transaction that will see Mobilicity emerge as a wholly-owned subsidiary of TELUS. TELUS has entered into support agreements with a significant number of Mobilicity's debtholders who have committed to vote for the plan of arrangement pursuant to the terms and conditions of the support agreements.

TELUS and Mobilicity anticipate an expeditious legal and regulatory review in view of the current circumstances Mobilicity is facing.

This news release contains statements about expected future events of TELUS that are forward-looking. By their nature, forward-looking statements require the Company to make assumptions and predictions and are subject to inherent risks and uncertainties. There can be no assurance that the associated benefits for TELUS shareholders of the acquisition will be realized, or that the expected regulatory and other approvals will be obtained. There is significant risk that the forward-looking statements will not prove to be accurate. Readers are cautioned not to place undue reliance on forward-looking statements as a number of factors could cause actual future events to differ materially from that expressed in the forward-looking statements.
Across Canada or Bust: Build Strong Cities Ride Across Canada

<HTMLCOPY>
Canada was born out of the need to connect. Confederation brought together our vast and sparsely inhabited country with the promise of connectivity. The future of Canada as a country and economy depended on it. The Trans Canada Railway, completed in 1885, represented a significant infrastructure investment and became the first platform to connect our nation. Now over 125 years later, our physical infrastructure is in need of repair, and a new platform for connectivity is emerging as an imperative link for economic prosperity.

Through FCM’s leadership with The Great Canadian Infrastructure Challenge, over 20,000 municipal leaders across Canada campaigned for predictable funding that would enable long-term community planning. To the benefit of all Canadians, they succeeded.

To celebrate their success Kadie Ward, a local economic developer and FCM International volunteer, is taking the train across Canada to attend FCM’s AGM. As she rides from Halifax to Vancouver May 21st to May 29th she will discuss the role transit and transportation infrastructure played in building our economy as well as discuss the importance of the digital infrastructure needed to support smart, connected, and sustainable municipal growth.

Presented in partnership with the Canadian Digital Media Network (CDMN) www.cdmn.ca, the experience of the ride will be presented through multiple platforms including an online blog, social media, and videos .The content will be published at www.buildstrongcities.com .

CDMN’s managing director, Kevin Tuer, calls the partnership the next great step in connecting Canadians to one another, and to the infrastructure they need to be productive in the global economy. “CDMN supports this initiative because it’s a great way to draw attention to the importance of Canada’s digital highway as a vital and necessary channel to market Canada’s natural digital resources on the world stage.” The ride will include stops in many of the regions where CDMN’s digital commercialization hubs reside.

Kadie Ward will board the train in Halifax accompanied by a videographer, photographer, and digital media entrepreneur. With stops in Halifax, Toronto, Waterloo, Stratford, London, Winnipeg, Edmonton, Jasper, and Vancouver, the team will showcase infrastructure investments across Canada that are fueling local economic development. She will have video and still footage available for local media at each stop.

During her ride she will re-tell the story of how constructing the national railway built Canada’s economy. And she will advocate for renewed investment in digital and physical infrastructure that connects citizens, industry, and ideas in order to grow our future digital economy. Her final destination will be the Federation of Canadian Municipalities Annual General Meeting where she will continue the infrastructure investment conversation with representatives from over 2000 communities across Canada.

The Build Strong Cities Ride is presented by Kadie Ward and the Canadian Digital Media Network, and sponsored by Cisco Canada, Holcim Canada Inc., Via Rail, and Libro Financial Group.

Time to put high-stakes Internet security issue on G20 agenda, CIGI commentary says

<HTMLCOPY>
Waterloo, ON — May 13, 2013 — The G20 should tackle the vastly important issue of Internet security and “articulate a vision for shaping the Internet economy for the next five to 10 years,” a new commentary issued by The Centre for International Governance Innovation (CIGI) recommends.

In Change the Conversation, Change the Venue and Change Our Future, Melissa E. Hathaway argues that the Internet’s economic importance, and the massive financial risk posed by cybersecurity threats, warrant making the issue a G20 agenda item. The G20 forum — with its ability to give equal voice among nations that make up 90 percent of global GDP, 80 percent of international trade and 64 percent of the world’s population — could “propagate a simple narrative that communicates why a sustainable cyberspace is linked to GDP growth for every nation.”

Hathaway says that Russia, which holds the G20 presidency in 2013, “could leave its mark on the world by leading this conversation in the G20 now.” She outlines practical steps that could be taken to add Internet governance and cybersecurity to multiple tracks of the current G20 program:

Building infrastructure and providing inclusive access to basic amenities (such as high-speed broadband communications) to spur economic growth. Agenda item: Development for All.

Support the Financial Stability Board with an information sharing forum/methodology to enable banks to better protect themselves from malicious cyber activities. Agenda item: Strengthening Financial Regulation. Alternatively, this same item could be addressed in the Agenda item: Fighting Corruption. Cybersecurity, fraud and e-crime could fit into the sub-tracks of deepening the engagement of the business community or eradicating corruption in major international events.

Curbing protectionism and strengthening the development of multilateral trade (by limiting e-crime, especially across borders). Agenda item: Enhancing Multilateral Trade.

Hathaway points out that, although Internet security is already being addressed at the international level — through the European Union, NATO and the United Nations — there is an “operational collision of competing interests” and a lack of clarity within these fora. She argues that “it is time to change the conversation and establish executive ownership among those who have the most to lose.”

She points out that an estimated 2.5 million jobs have been lost in G20 economies through counterfeiting and piracy and that $125 billion is lost annually by governments and consumers, all through cyber activities. “The Internet is the fuel of the global economy and the backbone of the international financial system,” says Hathaway. “No country can afford to put their economy at risk.”
