| Alpha Exchange Innovation Campaign contest official rules 1. To enter, complete the entry form at www.backbonemag.com/startmeup. Entries received are considered to be submitted by the account holder of the email address used in the submission. All entries must include a first and last name, address, email address and phone number. By submitting an entry for the contest, entrants acknowledge that they have read, understood and agreed to the following rules and regulations. 2. To enter the contest, applicants must have: corporate/group revenue of no more than $2 million annually; a ready-to-sell product or service; and a complete business plan and market analysis. Any business or technology sector is relevant. 3. Applications will be subject to verification. Any misrepresentation will result in the forfeiture of the application. 4. Entries are accepted from Feb. 7, 2012 until 11:59 pm Eastern on March 31, 2012. No entry after that time will be considered valid. No purchase necessary. Void where prohibited. 5. The final stage in the judging process is a live pitch event, held in Toronto on the afternoon of May 15, 2012. Finalists must attend this event in person; failure to do so will result in the forfeiture of your application. Costs associated with travel to this event will be borne by the entrant. 6. The primary contest sponsors are Alpha Exchange Inc. and Backbone magazine. Additional sponsors will be named at a later date. 7. To enter and to be eligible to win, entrant must be a legal resident of Canada, and be of the age of majority or older in the province of residence. Employees of Backbone or any of the contest sponsors, prize sponsors and promotional and advertising agencies and administrators or any of their respective affiliates, as well as their respective immediate family members (parents, siblings and children) and persons domiciled with any of them, are ineligible to enter. Proof of identification must be provided upon request. 8. Prizes: One (1) first-place prize will be awarded, consisting of $20,000 in cash and $65,000 in related products and/or services. A runner-up will be also be named; the runner-up will receive $5,000 in cash and $10,000 in related products and/or services. The dollar amounts will be paid by cheque in two installments, one in May 2012 and one in May 2013. The winners will be notified, using the email address provided on the application form, on April 25, 2012. The sponsors are not responsible for any tax-source deductions on winnings. If a prize cannot be awarded as described in these rules, Backbone reserves the right to substitute one or more prizes or prize components with another of approximately equivalent value. To be proclaimed winners, participants must meet all the conditions set out in these rules. The winners shall if requested sign a declaration of eligibility for the competition, and release Backbone, all contest sponsors and prize sponsors and each of their respective affiliated companies or agents, as well as their respective directors, officers and employees, from any liability for damage or loss whatsoever, whether arising from the participants' involvement in this contest or from the awarding, acceptance or use of the prizes. A winner's refusal to accept a prize shall release Backbone, the contest sponsors and the prize sponsors and their affiliated companies or agents, as well as their respective directors, officers and employees, from all obligations towards the winner. 9. The winners agree to stay in regular contact with Backbone’s editorial staff for one year following the live event, to enable the regular editorial coverage that is part of the prize package. “Regular” contact will, on average, mean a weekly phone conversation or in-person meeting. Failure to stay in contact will result in the forfeiture of all outstanding prizes. 10. Prizes must be accepted as awarded. Prizes may not be sold or transferred and are not convertible to cash. 11. All finalists and winners grant the sponsors the right to broadcast, publish and disseminate their name, city of residence, photograph, likeness and voice in connection with any promotion or publicity, and/or for general news and information purposes, at no additional compensation to the finalist or winners. 12. By completing and submitting the application form, entrants agree to accept and abide by these rules. All decisions of the sponsors with respect to this contest are final. 13. Sponsors may contact applicants for promotional purposes. 14. Sponsors reserve the right to modify the rules without materially affecting the terms and conditions hereof. The sponsors reserve the right to disqualify any individual they find to be tampering with the entry process or the operation of the contest or to be acting in violation of the rules or otherwise in a disruptive manner. 15. Privacy policy: We are committed to protecting the privacy of your personal information. Contest sponsors will not sell or transmit personal information (information that identifies an entrant as an individual, such as home telephone number, age and home address) to third parties except for the purposes of judging the entries and administering this contest. However, each and every sponsor may have access to this personal information. All entries become the property of the contest sponsors. Unauthorized copying or use of any material or intellectual property contained within completed entry forms is strictly prohibited. 17.
